Terms of Service

1. Agreement to Terms

By creating an account, making a purchase, or continuing to use NorthStarDesi after being presented with these Terms, you agree to be bound by these Terms of Service. If you do not agree, do not create an account or make a purchase.

By checking the "I agree to the Terms of Service" checkbox during registration or checkout, you confirm that you have read, understood, and agree to these Terms. This constitutes a legally binding agreement between you and NorthStarDesi.

2. Description of Service

NorthStarDesi is an educational platform that provides:

• Career track curricula for working with US/Canada clients
• Professional templates for client communication, proposals, and delivery
• Case study and portfolio builders
• Safety and anti-scam educational content

NorthStarDesi is not an employment agency, staffing firm, recruitment service, or employment exchange under the Employment Exchanges (Compulsory Notification of Vacancies) Act, 1959. We do not place, match, or guarantee employment or clients.

3. Account Registration

You must be at least 18 years of age to create an account and use our services. By registering, you represent and warrant that you are 18 years of age or older.

To access our services, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activities that occur under your account

4. Payment, Pricing, and Access

All prices are displayed in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise at checkout. Payment is processed securely through Dodo Payments, a third-party payment provider. NorthStarDesi does not store, process, or have access to your payment card information.

NorthStarDesi operates on a one-time payment model. There are no recurring charges, auto-renewals, or subscription fees. You will not be charged again unless you independently initiate a new purchase (such as upgrading from Focus to Complete plan).

Upon successful payment:

• You receive access to your purchased tier. We will make commercially reasonable efforts to maintain the service, but reserve the right to modify, suspend, or discontinue the service with reasonable notice. In the event of permanent discontinuation, we will provide at least 60 days' notice via email.
• Content unlocks progressively based on your learning plan
• Focus plan purchases grant access to one selected path
• Complete plan purchases grant access to all paths

We reserve the right to modify pricing for future purchases. Price changes do not affect existing purchases.

5. Content and Feature Updates

NorthStarDesi is a living platform. Your purchase grants you access to the platform and its curriculum as they exist and evolve over time -- not to a fixed or frozen snapshot of content or features at the time of purchase.

We reserve the right, at our sole discretion, to add, modify, replace, reorganize, or remove individual features, tools, templates, lessons, modules, or other content at any time as part of the normal operation and improvement of the platform. This includes, without limitation:

• Updating, rewriting, or restructuring curriculum content to reflect current best practices, market changes, or user feedback
• Adding, modifying, or removing interactive features, tools, or builders
• Changing the number, order, or structure of modules, stages, or lessons
• Replacing or retiring templates with updated versions
• Adjusting gamification elements such as achievements, streaks, or progress tracking

We will make commercially reasonable efforts to ensure that changes maintain or improve the overall value of the platform. However, routine content and feature changes are a normal part of platform operation and do not constitute a defect in or reduction of the service. Such changes are not grounds for a refund outside the standard refund window described in our Refund Policy.

This section does not affect the 60-day notice requirement for permanent discontinuation of the entire service described in Section 4, nor does it limit your statutory consumer rights under applicable law.

7. Intellectual Property

All intellectual property rights in the service and its content -- including all lessons, templates, quizzes, scenarios, safety content, and platform design -- are owned by NorthStarDesi and its licensors, and are protected under the Copyright Act, 1957 and applicable intellectual property laws.

You may:

• Use templates for your personal business purposes
• Modify templates for your specific needs

You may NOT:

• Resell, redistribute, or sublicense our content
• Share your account access with others
• Create derivative products for sale
• Use automated tools (scraping, crawling, or bots) to extract content from the platform
• Reverse engineer, decompile, or disassemble any part of the service

User-Generated Content

You retain ownership of content you create using our tools (case studies, proposals, portfolio items, etc.). By creating content on the platform, you grant NorthStarDesi a non-exclusive, royalty-free license to store and process that content solely for the purpose of providing the service.

You represent and warrant that content you create using the service does not infringe any third party's rights, is not false or misleading, and complies with applicable laws. NorthStarDesi does not review, endorse, or verify user-generated content.

8. Disclaimer and No Professional Advice

NorthStarDesi is an educational platform. All content, templates, tools, and guidance provided through the service are for general educational and informational purposes only.

NorthStarDesi does not provide and shall not be construed as providing legal, tax, financial, accounting, immigration, or any other form of licensed professional advice. No client-professional relationship is created by your use of this service.

Without limiting the foregoing:

• Content discussing tax, GST, TDS, or income tax is general educational information -- not tax advice. Consult a qualified Chartered Accountant.
• Templates are educational samples and starting points -- not legal documents. Have a qualified lawyer review any contract before execution.
• Career guidance is based on general industry patterns. NorthStarDesi is not registered with SEBI, RBI, or any financial regulatory authority and does not provide financial advisory services.
• Discussions of visa sponsorship or work authorization are general information only -- not immigration advice. Consult a qualified immigration attorney.

No Guarantee of Results

We make no representation, warranty, or guarantee regarding specific outcomes including but not limited to income levels, client acquisition, job offers, career advancement, or business growth. Any examples or illustrative scenarios shared on the platform do not represent typical or guaranteed results. Individual outcomes depend on your experience, skills, effort, market conditions, and numerous other factors.

9. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

10. Limitation of Liability

To the maximum extent permitted by applicable law, our total cumulative liability to you for all claims arising out of or related to these Terms or your use of the service shall not exceed the total amount you paid to NorthStarDesi in the twelve (12) months immediately preceding the event giving rise to the claim.

To the maximum extent permitted by applicable law, in no event shall NorthStarDesi be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, loss of data, or loss of goodwill, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if NorthStarDesi has been advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability for (a) fraud or fraudulent misrepresentation, (b) any liability that cannot be limited or excluded under applicable law, or (c) death or personal injury caused by negligence.

11. Indemnification

You agree to indemnify, defend, and hold harmless NorthStarDesi, its owner, affiliates, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) any content you create, submit, or generate using the service's tools; or (d) your infringement of any third party's rights. This obligation survives termination of your account or these Terms.

12. Account Suspension and Termination

We may suspend or terminate your account, without prior notice, if we reasonably believe you have: (a) violated these Terms; (b) engaged in fraudulent activity, including payment chargebacks; (c) used the service for unlawful purposes; or (d) engaged in conduct that may harm the platform or other users.

Upon suspension, you will be notified at your registered email address with the general reason for the action. You may contact our Grievance Officer to contest the suspension. We will review appeals within 15 days.

You may delete your account at any time through the Settings page or by contacting us. Account deletion is subject to our data retention policies as described in our Privacy Policy.

13. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to any part of the service, other users' accounts, or our systems
• Interfere with or disrupt the service or servers or networks connected to the service
• Use automated means (bots, scrapers, spiders) to access or extract content from the service
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity

14. Electronic Communications

By creating an account, you consent to receive electronic communications from NorthStarDesi, including account verification emails, transactional notifications (purchase confirmations, refund updates), and service-related announcements. We will not send marketing emails without your separate opt-in consent.

15. Changes to Terms

We may update these terms from time to time. We will provide at least 15 days' notice before material changes take effect, via email to your registered address. Non-material changes (clarifications, formatting) may take effect immediately upon posting.

If you disagree with material changes, you may stop using the service. Your continued use after the notice period constitutes acceptance. Changes do not retroactively affect the terms of your existing purchase.

16. Service Availability

We do not guarantee uninterrupted, timely, or error-free access to the service. We may perform scheduled maintenance, and our third-party hosting providers may experience outages. We will make reasonable efforts to restore service promptly but do not offer any Service Level Agreement (SLA) or uptime guarantee.

17. Force Majeure

We are not liable for delays, interruptions, or failures in performance caused by events beyond our reasonable control, including natural disasters, pandemics, acts of government or regulatory authorities, internet or telecommunications failures, power outages, failure of third-party hosting or infrastructure providers, cyberattacks, war, terrorism, civil unrest, or labor disputes.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

19. No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

20. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and NorthStarDesi regarding your use of the service and supersede any prior agreements or understandings on that subject.

21. Governing Law and Jurisdiction

NorthStarDesi is operated by an individual based in Canada. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. However, if you are a consumer in India, nothing in these Terms limits your rights under the Consumer Protection Act, 2019 or your right to approach the consumer forum in your district.

Nothing in these Terms restricts your right to exercise any rights available to you under the applicable laws of your jurisdiction.

Before filing any formal legal proceeding, you agree to contact our Grievance Officer and allow 30 days for resolution. This does not restrict your statutory rights.
